This dissertation examines the strategic decision of Quality & Reliability Group (QnR) to enter the cybersecurity sector through acquisition, using the purchase of a 60% stake in SysteCom in 2025 as a case study. The research is conducted within the context of the rapidly expanding cybersecurity market, the increasing volume and sophistication of cyber threats, and the emergence of a stricter European and national regulatory framework, including the NIS2 Directive, the Digital Operational Resilience Act (DORA), the Cyber Resilience Act, and the AI Act.
The main objective of the study is to evaluate the strategic rationale behind QnR’s entry into cybersecurity and to identify the key opportunities and challenges associated with integrating this new business activity into the Group. To achieve this objective, the study employs established strategic management frameworks, including Porter’s Five Forces Model, the Resource-Based View (RBV), the VRIO framework, Dynamic Capabilities Theory, Technological Diversification, and Mergers & Acquisitions/Post-Merger Integration (M&A/PMI) approaches.
The research adopts a case study methodology and combines academic literature, cybersecurity market data, and publicly available corporate information. The findings suggest that QnR’s entry into the cybersecurity sector represents a strategically justified decision, leveraging the Group’s existing technological capabilities, strengthening portfolio diversification, and creating synergies with artificial intelligence, enterprise applications, and digital transformation services. Furthermore, the study highlights that the long-term success of this strategy depends significantly on effective post-merger integration, the retention of specialized talent, and the successful development of cross-selling opportunities among the Group’s subsidiaries.
