This dissertation deals with corporate restructuring law in Greece, analyzing their significance, the institutional framework governing them, the processes, and their practical applications, highlighting the developments and opportunities related to them. Its contribution lies not only in the overview of the legal framework but also in the deeper understanding of the administrative and financial dimensions that lead to and support the restructuring processes. The aim of this paper is to offer a comprehensive analysis of corporate restructurings and highlight the importance of these processes for business strategy and economic prosperity, while also examining the challenges and obstacles that arise during their implementation.
Specifically, the first chapter presents the concept of corporate restructuring, as well as its historical development in Greece. It examines their significance for business development and the reasons that make a cohesive legislative framework necessary. The second chapter describes the legal framework governing restructurings, with particular emphasis on Laws 4601/2019, 4935/2022, and 5055/2023. It explains the main provisions, the innovations they introduced, and their impact on corporate governance and the protection of shareholders and creditors. The third chapter focuses on theoretical approaches, analyzing economic and administrative theories that support the strategic importance of restructurings, while the fourth chapter examines two case studies of successful restructurings in Greece: a merger and a demerger. The challenges faced by the involved companies and the benefits that arise are analyzed. The fifth chapter summarizes the findings of the paper and offers suggestions for improving the legislation and the strategic implementation of corporate restructurings, aiming to enhance competitiveness and sustainable development of businesses. Finally, the paper presents a comprehensive bibliography.
The thesis provides a complete theoretical and practical framework, combining analysis of legislation, theories, and real-world applications, and serves as a useful tool for studying corporate law in Greece.
