A critical analysis of the Frontline-Euronav merger collapse adds understanding to how governance practices interact with ESG factors and M&A operations in the shipping sector. The following study analyzes key merger events through an event study approach to evaluate market responses that were shaped by economic as well as governance and sustainability elements affecting investor sentiment. The research findings demonstrate that M&A transaction success requires proper governance alignment because strategic misalignment together with leadership conflicts and shareholder opposition developed into primary merger challenges. This analysis shows that sustainability policies together with ESG compliance requirements now form a powerful element in determining the success of M&A transactions. Companies with well-defined ESG commitments obtain better investor trust but business decisions stemming from ESG strategy conflicts lead to market uncertainties which negatively affect merger success. Evidence from statistical analysis shows that audiences reacted strongly after the announcement as Frontline investors maintained a positive market reaction, yet Euronav investors lost confidence indicating questions about the sustainability of the proposed merger. This study provides extensive implications about shipping industry governance and sustainability which support the requirement of transparent decision-making with ESG integration and regulatory standards enabling sustainable M&A practices. Research must continue by evaluating how ESG-oriented mergers perform in the long run and analyzing successful and unsuccessful shipping M&A cases through statistical models to assess sustainability conditions that influence company market worth. The research explains governance and sustainability dynamics as they relate to shipping sector corporate consolidations.
