This work focuses on the obligations and the responsibility of the members of the Board of Directors in the Societe Anonyme based on the current institutional framework in Greece. In addition to presenting current legislation and jurisprudence, a theoretical analysis is based on the analysis of reputable scientists in the field of legal science. The aim is to examine how the Greek legislator approaches issues related to the allocation of responsibility to Societe Anonyme Societies and the individual dimensions that emerge along the way.
The methodology of the thesis is that of a bibliographic review of the available primary and secondary literature with the emphasis on explaining points which may be ambiguous. This work is also intended to cover the issue in a clear and complete manner so that it is understood by persons with a sufficient level of knowledge of commercial law but also of civil and criminal law, by readers interested in business finance.
